Ribbi Payment Service Agreement (including Automatic Renewal Rules)

I. Introduction

1.1 The Ribbi Paid Service (hereinafter referred to as "this Service" or "the Paid Service") is provided by SOMASOLE INC and/or its affiliates (hereinafter referred to as "the Company" or "we") to you (or "you"). You have entered into the Ribbi Paid Service Agreement (hereinafter "this Agreement") with us regarding your use of the Service, which includes the Appendix "Automatic Renewal Terms".

1.2 Before purchasing or using any paid service, you must carefully read and fully understand this Agreement, particularly the specific terms and conditions of the intended service, special notices, and any clauses highlighted in bold or other conspicuous manner (including but not limited to payment/withdrawal terms, liability exemption/ limitation clauses, applicable law provisions, and dispute resolution terms).

1.3 If you do not agree to any or all terms of this Agreement, please do not proceed with subsequent actions or use the corresponding paid services by confirming (including but not limited to checking "I agree," clicking "开通/ Purchase Now," or making payments). By proceeding with such actions or using the paid services, you acknowledge that you have read and agreed to all terms of this Agreement, which shall become legally binding between you and us as a binding legal document for both parties.

1.4 If you are a user outside the Chinese mainland, you shall also comply with the laws of your country or region of residence when entering into or performing this Agreement.

1.5 You hereby confirm that, by using any paid service, you possess the civil capacity required by the laws and regulations of the People's Republic of China for your intended use. If you do not possess such civil capacity, you must obtain informed consent from your guardian; both you and your guardian shall bear corresponding legal responsibilities accordingly. Specifically, if you are a minor, you must read and assess whether to agree to this Agreement and other related agreements under the guidance and supervision of your guardian, paying particular attention to the provisions regarding minor users. If you lack full civil capacity, you must obtain prior consent from your guardian before using this service.

II. Scope of Application and Explanation of This Agreement

2.1 This Agreement applies to all paid services you utilize during Ribbi's operation. It currently covers a range of membership services and points programs; activation and use of any such paid service are governed by this Agreement. Please note that the listed paid services represent distinct product features. Activating one service does not automatically grant access to others. Please activate the required services on their respective product pages based on your specific needs.

2.2 Please note that when you activate or use paid services, this Agreement supplements the "Ribbi User Service Agreement" and the "Ribbi Privacy Policy," forming an integral part of them and constituting a unified whole. In case of any conflict or inconsistency between this Agreement and the aforementioned documents, this Agreement shall prevail.

III. Definition of Terms

3.1 "Ribbi" / "Platform": Refers to the client applications, official website (ribbi.ai), and software development kits (SDKs) and application programming interfaces (APIs) legally owned and operated by the Company under the name "Ribbi", as well as those provided for use by third-party websites and applications. The Company reserves the right to modify the specific version of the Ribbi platform offered to you at any time based on business needs; please refer to the version actually used.

3.2 "User": Refers to a Ribbi paying user who has logged in, registered, used Ribbi, and intends to activate or purchase paid services; in this Agreement, the term "User" means "you".

3.3 "User Account": refers to the Ribbi account used by the user to activate paid services.

3.4 "Member Account": refers to the user account linked to your membership service.

3.5 "Regular Account": Refers to a Ribbi user account that is not a member account.

3.6 "Points": Refers to the virtual currency provided by the Company to users in accordance with relevant platform rules for making purchases on the Ribbi platform (e.g., redeeming specific Ribbi platform features). The number of points required to access specific features, models, and services may vary; please refer to the instructions on the Ribbi platform's product and service pages for details. You can check your point balance and relevant redemption rules after logging into Ribbi via: Ribbi Web: Top-right avatar → Billing → View Details.

3.7 "Service Fee": Refers to the actual fee paid by the user for activating paid services, as specified on the relevant service product page.

3.8 "Term of Use": Refers to the valid period during which users may utilize a paid service and enjoy its associated benefits after activation.

3.9 "Platform Rules": refers to the collective term for this Agreement, the "Ribbi User Service Agreement", the "Ribbi Privacy Policy", and all agreements, rules, announcements, additional terms, product requirements, purchase guidelines, in-site messaging notifications, and other related content concerning Ribbi services or any paid services issued by the Company, whether currently or subsequently.

IV. Payment Service Details and Rules

4.1 Series Membership Services

Ribbi AI offers three membership tiers: Basic, Standard, and Advanced (collectively referred to as "Members"), each with distinct benefits and services. Please select the appropriate tier based on your needs. The company reserves the right to modify membership categories, names, or benefits as required and will notify you accordingly.

4.1.1 User Rights

(1) Upon subscribing to the series membership plan, you will receive a range of standard benefits, including: monthly bonus points (the exact number varies depending on your membership tier and is displayed on the purchase page), removal of brand watermarks from your creations, and other benefits regularly updated to enhance user experience (specific entitlements are subject to those shown on product pages and service details).

(2) During the validity period of your Series Membership Service, you may use points to redeem specific exclusive membership benefits (the details vary depending on the platform's features, models, and services). Examples include: Digital Human – Master Mode, and other special Series Membership benefits that require point redemption within the service's validity period. The exact user benefits available with a Series Membership are subject to those displayed on the product page and in the service details.

The aforementioned special benefits that require you to redeem points during the series membership period will be clearly indicated on the product page. Please read the relevant instructions carefully and decide independently whether to purchase and use the points. Choosing not to utilize these special benefits will not affect your access to standard series membership benefits during the membership period.

4.1.2 Usage Rules

(1) By completing the required steps on the actual product purchase page and confirming successful payment of the service fee, you can activate the corresponding membership services, obtain the associated benefits, and become a "Member User." Please note that the validity period and scope of benefits for each membership category are subject to the membership tier you selected at purchase, the specific benefits included in your plan, and the information displayed on the relevant product pages.

(2) Please note that you must log in to your membership account to use any subscribed service. For account management and security, please refer to the "Account" section of the "Ribbi User Service Agreement".

(3) Please note that we impose limits on the maximum number of devices a single member account can log in to and the number of devices that can be online simultaneously. If you exceed these limits, the company reserves the right to take measures such as restricting login access, limiting usage, or suspending or terminating services based on your excessive usage.

(4) After the validity period of your activated membership service expires (at 23:59 on the expiration date), if you do not renew it or purchase another membership plan, your account will revert to a regular account and you will no longer enjoy the corresponding benefits.

(5) This membership series supports automatic renewal. Currently, the automatic renewal options available for Basic, Standard, and Premium memberships include continuous monthly and annual subscriptions, with corresponding billing cycles of monthly and annual respectively. For detailed rules, please refer to the Appendix "Automatic Renewal Service Rules" to this agreement. The company may, at any time, add or modify automatic renewal service types and benefit details based on business development and evolving user needs (subject to the product page display and descriptions at the time of purchase).

(6) After activating your membership service, you can log in to your account to view your paid benefits (e.g., enabled permissions, validity period, etc.). Access methods: Ribbi Web: Top-right avatar → Subscriptions → View Detail.

4.2 Integration Services

4.2.1 "Points" are a virtual tool provided to you for making eligible purchases on the Ribbi platform. You may use points to redeem various platform features, including but not limited to "Image Generation," "Video Generation," and "Digital Person Creation" (for detailed information on specific features and corresponding point redemption amounts, please refer to the relevant product和服务 pages on the Ribbi platform). You acknowledge that once points are credited, they cannot be refunded or converted back into RMB or other currencies; points may only be used to access the Ribbi platform functions or services specified in this agreement.

4.2.2 You understand and confirm that the validity period of points varies depending on their type, as detailed below:

(1) Points awarded under the Series Membership Benefits (Subscription Points): Points are granted monthly during the validity period of a Series Membership plan (including continuous monthly and annual subscriptions). The points have a validity period of one month from the date of acquisition, calculated from when the user receives the Ribbi Platform-awarded points via their membership account until the end of the first calendar month. For example, if a user successfully subscribes to a continuous annual Series Membership plan at 10:00 on January 1, 2025, receiving the Ribbi Platform-awarded points, the points' validity period begins then and ends at 10:00 on February 1, 2025.

(2) Daily points awarded by the Ribbi platform (awarded points): These points are valid only for the day they are received, starting from when the user logs into their account and claims them, and expire at the end of that day (for example, if a user logs in at 10:00 on January 1, 2025 to claim awarded points, they become valid until 23:59:59 on January 1, 2025).

(3) User recharge points: The validity period of points is 2 years, starting from the successful recharge date and ending on the day after two calendar years (for example, if a user successfully recharges at 10:00 on January 1, 2025, the points in the account will be valid until 10:00 on January 1, 2027).

You can check your points balance, earning and consumption records via Ribbi Web: top-right Avatar → Billing → View Details. These records are official proof of your points transactions. These records serve as valid evidence of your point usage. If you have any objections to your point records, please contact us via the contact information specified in this agreement. Upon verification, we will make corrections where necessary.

4.2.3 The fee for purchasing points will be charged by the company or its designated partners. Each recharge method may incur specific transaction fees set by the respective partner, which will be charged during the recharge process. Users should carefully review the service fees of each partner and select a recharge method that best suits their needs.

4.2.4 The platform advocates rational consumption. Please purchase the appropriate number of points based on your actual needs. During the recharge process, carefully verify the device, account, or mobile phone number linked to your account, and meticulously select and/or enter relevant options such as the recharge device, account, mobile phone number, and recharge amount. If any error occurs due to incorrect account/phone number entry, erroneous amount, improper operation, or lack of understanding of the recharge billing method—resulting in wrong account recharge, incorrect amount, or wrong recharge type—which causes damage to your rights and interests, you shall bear all resulting losses; the company will not provide compensation or indemnification.

4.2.5 If the Company identifies a processing error caused by a system malfunction or any other reason, whether beneficial to the Company or to you, the Company reserves the right to correct such error. If the error results in you receiving fewer points than your entitled amount, the Company will promptly replenish the shortfall to your account upon confirmation of the error. If the error causes you to receive more points than due, regardless of the nature or cause of the error, the Company may directly deduct the excess from your account.

V. Payment Details and Refunds

5.1 Cost Standards

5.1.1 Powered by AI technology, Ribbi has invested substantial resources to enhance its technical capabilities, continuously updating and optimizing the product features and services it offers.

5.1.2 Please note that the fee standards and point redemption amounts for specific benefits and content under each paid service shall be subject to the pricing or instructions displayed on Ribbi's product和服务 pages at the time of purchase or point redemption.

5.1.3 Please note that the Company reserves the right to independently set prices for the paid services provided by the Ribbi platform and the corresponding user benefits associated with them.

5.1.4 Please note that pricing for specific benefits and content under paid services may be adjusted from time to time based on R&D investments in AI technology, product updates and iterations, functional improvements, model and service enhancements, market and business development needs, operational requirements, and rights adjustments. Price changes will take effect immediately upon announcement. Services and content activated or purchased prior to such adjustments remain unaffected; however, renewal (including automatic renewal) or additional purchases after the expiration period shall be subject to the revised prices. Notably, if you have enabled automatic renewal for purchased services, the company will notify you appropriately of any price adjustments to virtual benefits included in those services and will make every effort to protect your legitimate rights.

5.1.5 Unless otherwise specified on the specific paid service purchase page or the relevant benefits details page, the price descriptions on these pages shall be interpreted in accordance with this clause:

Underlined price: Refers to the company's market reference price, guidance price, or previously displayed sales price for paid service benefits. Due to regional and temporal variations as well as market fluctuations, these reference or guidance prices may differ from the actual displayed price at purchase. The underlined price is for reference only.

Underlined price: Refers to the displayed selling price or real-time quoted price for paid service benefits, which remains unchanged regardless of wording variations. The actual transaction price may vary depending on promotional activities for all or part of the benefits, user coupon usage, points accumulation, or other factors. The final price you pay for the paid service benefits shall be shown on the order checkout page.

Promotional/discount price: Unless otherwise specified, this is a discounted price based on the underlined price, market reference price, or suggested retail price. For inquiries, please contact customer service before purchasing.

Member Price: Unless otherwise specified, this refers to a exclusive discount for members based on the underlined price, market reference price, or suggested retail price. For inquiries, please contact customer service before purchasing.

Price discrepancy: Due to potential system caching or page update delays, prices may display incorrectly. The actual price for all or part of individual paid services is subject to the order checkout page. If you notice any discrepancies, contact us immediately for correction to ensure smooth purchase of the relevant benefits.

5.2 Purchase and Payment

5.2.1 Please note that, unless otherwise specified in this Agreement, activation or purchase of paid services requires logging into your user account. If you do not log in with your user account, you will access certain Ribbi services or features in "Guest Mode," but will not be able to activate or purchase paid services.

5.2.2 The Ribbi mobile app currently offers three login methods: "Direct login with Jianying account," "Authorized login with TikTok account," and "Authorized login with Apple ID." Please note that if you wish to enable interoperability of purchased single-paid services, related features, and benefits across all Ribbi platforms, you must log in directly with a Jianying account, authorize login using a TikTok account, or link your TikTok account after logging in with Apple ID authorization.

5.2.3 You should pay the purchase fee using an existing payment method specified by the Ribbi platform or a future payment method designated by Ribbi. Supported payment methods may vary by terminal and system; follow the instructions on the payment page.

5.3 Tourist Mode

5.3.1 The App Store allows unregistered users to purchase Ribbi paid services in "Guest Mode." These paid benefits will be linked to the Apple device used for purchase and are exclusively available on that device. However, please note that your benefits may not be fully utilized due to Guest Mode usage. The company reminds you that if the Apple device linked to a paid benefit is lost, damaged, or subjected to system upgrades, restoration, data deletion, or similar actions, you will no longer be able to use those benefits; any resulting losses shall be borne by you.

5.3.2 The Company recommends that you log in to your user account using the Ribbi front-end page instructions before purchasing paid services, so you can utilize all purchased benefits on other devices and enjoy our paid services more conveniently and securely.

5.4 Refund Rules

As Ribbi's paid services and benefits are virtual consumption items, you may not transfer them or request a refund after completing purchase and payment, except in statutory cases, circumstances specified in this Agreement, or when significant defects in Ribbi's services or functionality prevent normal use—a situation constituting a breach by the Company. Before purchasing any paid service (including auto-renewal services), please carefully review the service details, pricing, validity period, applicable terms, and verification your user account information.

VI. General Rules

6.1 Please note that to enhance user experience and improve service offerings, the Company may periodically update or optimize paid services, related features, and user benefits. These updates may involve discontinuing or modifying certain existing features or benefits, and the Company will make every effort to protect your user rights.

6.2 Please note that all paid services and corresponding benefits are exclusively available to you through your registered user account. Without the company's written consent, it is prohibited to gift, lend, lease, transfer, sell, or otherwise license others to use this user account or any purchased services/benefits associated with it. If the company discovers or has reasonable grounds to believe that the actual user is not the account owner, it reserves the right to immediately suspend or terminate access to these services/benefits for that account to protect account security and user rights. You must properly use, safeguard, and maintain your user account and password; in cases of data leakage, loss, or theft not attributable to Ribbi Platform or the Company, you shall bear all resulting losses.

6.3 After activating or purchasing the corresponding paid services, you may use these services and associated user benefits for the specified duration. The Company hereby reminds you that usage terms such as validity periods directly impact your rights and interests. Please carefully review the payment page and detailed descriptions of services/benefits upon purchase, ensuring full comprehension of all provisions outlined in this agreement, the purchase page, and the service/benefit documentation to obtain a clear understanding of the purchased services, granted benefits, and applicable terms.

6.4 If changes in laws and regulations, government actions, or unforeseen circumstances prevent you from accessing all or part of the paid services and user benefits as intended, the Company shall notify you in an appropriate manner but shall not be liable for any resulting losses. Should you have any inquiries, please contact the Company via the complaint channels and contact information specified in this Agreement.

6.5 If you engage in any of the following violations or improper activities regarding the activation or use of paid services, the Company reserves the right to cancel or void the relevant paid services and benefits you have purchased, and will not refund any fees already paid. You shall be liable for such violations and their legal consequences; if this causes losses to the Company, the Company may seek reimbursement from you and, as appropriate, take the measures specified in Article 8.2 of this Agreement, including requiring you to refund any proceeds or illegal gains obtained through sale, transfer, licensing or other means (if applicable):

(1) Any acts involving theft, exploitation of system vulnerabilities (including but not limited to bot software, spider software, web crawler software, screen-filling software, etc.), defects or errors in rules/system configurations, acquisition of paid services and benefits through any non-official or unauthorized channels, methods or means (including but not limited to purchase, rental, borrowing, sharing, assignment, etc.), or malicious use or disruption of such paid services and benefits;

(2) Utilizing paid services and benefits for profit (except where a single paid service is permitted for commercial use) or illegal gains; selling, transferring, licensing, or assigning the paid services or benefits you hold in any manner; or lending such services or benefits to others for compensation.

(3) Altering the validity period, consumption records, or transaction status of purchased paid services under a user account through illegal means, or using such purchased services in an illegal manner for illicit purposes;

(4) Actively cracking, modifying, reversing, compromising, or otherwise tampering with any security measures or technologies employed by the company to protect paid services and rights, or assisting others in such acts;

(5) Any act that utilizes paid services or infringes upon the intellectual property rights, property rights, reputation rights, or other legitimate interests of the Company or any third party;

(6) Using paid services or engaging in behaviors that harm or are suspected of harming minors;

(7) Other acts that violate laws, regulations, this Agreement, or the relevant platform rules.

6.6 Please note that we respect and protect the legitimate rights and interests of users, creators, and third parties, including intellectual property rights, portrait rights, reputation rights, and privacy rights. When using the functions and services of the Ribbi platform—including those allowing you to upload text, images, videos, audio files, or other content—you must ensure such uploads do not infringe upon any third party's intellectual property rights, portrait rights, reputation rights, privacy rights, or other lawful rights. Failure to comply will result in full liability for any infringement; we reserve the right to remove such content upon receiving and verifying a complaint from the rights holder in accordance with platform policies. You shall bear all resulting losses or adverse consequences, and if losses are incurred by the Company, the Company may seek compensation from you and take appropriate action as stipulated in Article 8.2.

6.7 Please note that all equipment (e.g., personal computers, mobile phones, and other devices required for internet or mobile network access) and associated costs (including telephone and internet fees for internet access, and mobile data charges for mobile network usage) necessary for activating and using the paid services under this Agreement shall be borne solely by you.

6.8 Please note that the Company may send you recommended content, paid user benefits, promotional offers, and other information via your phone number linked to your account or through in-site messages, announcements, or other means. If you do not wish to receive such communications, you may disable or unsubscribe at any time using the options provided with the notification.

VII. Suspension and Termination of Services

7.1 The suspension or termination of the paid services you have subscribed to or purchased includes the following scenarios:

(1) You voluntarily suspend or terminate the service, including but not limited to suspending or terminating purchased paid services, failing to renew upon expiration of usage period, or canceling your user account;

(2) Where the Company voluntarily suspends or terminates the relevant paid services due to your breach of contract;

(3) When required by national or relevant government regulatory authorities, or in the event of a force majeure event, the Company may suspend or terminate the corresponding paid services;

(4) Other cases where the corresponding paid services shall be suspended or terminated in accordance with laws and regulations.

7.2 After suspending or terminating the corresponding paid service, the Company has the right (but no obligation) to ensure you receive specific notifications. If you encounter any issues with service functionality, you may contact Ribbi's customer service team.

7.3 In the event of any suspension or termination as stipulated in Article 7.1:

(1) Except for liabilities prescribed by law, the Company shall not be liable to you or any third party;

(2) Unless otherwise specified in this Agreement, all fees already collected shall not be refunded;

(3) The Company has the right, but no obligation, to ensure that your user data for the relevant paid services is retained.

7.4 Upon termination of the paid service, you shall have no right to demand that the Company continue providing the corresponding paid services or user benefits, or to require the Company to fulfill any other obligations related to such termination; however, this does not affect your rights and obligations with the Company arising from this Agreement prior to termination. If the Company incurs third-party claims or administrative penalties due to your actions, you shall compensate the Company for all resulting losses and/or expenses.

VIII. Risks and Responsibilities

8.1 You understand and agree that if any claim, demand, or loss asserted by a third party results from your violation of laws, regulations, this Agreement, or the relevant platform rules, you shall bear sole responsibility; and if such actions cause losses to the Company or Ribbi, you shall be liable for compensation.

8.2 When using paid services, you shall comply with laws and regulations, observe public order, respect public morals and good customs, refrain from endangering cybersecurity, and avoid utilizing the internet to engage in activities that endanger national security, honor, or interests; incite subversion of state power or overthrow of the state system; promote national division or undermine national unity; propagate terrorism or extremism; foster ethnic hatred; disseminate violent or obscene content; fabricate or spread false information that disrupts economic or social order; employ the service for criminal activities such as fraud, money laundering, extortion, or gambling; or commit acts infringing upon others' reputation, privacy, intellectual property rights, or other legitimate rights and interests. If the Company identifies any of these behaviors, it reserves the right to implement management measures regarding your user account and related access permissions, including but not limited to:

(1) Issue warnings via internal messaging or other means, requiring corrective action;

(2) Reject the activation request, or immediately terminate all or part of the services and benefits you have purchased without notifying you, with no refund required;

(3) Restrict or freeze partial or all permissions/functions of your user account;

(4) Temporarily freeze or permanently ban your user account;

(5) Restrict or prohibit you from continuing to purchase paid services or enjoying corresponding service benefits.

Furthermore, the Company and/or its platform reserve the right to claim compensation from you for any losses incurred by the Company as a result of your actions (including but not limited to compensation payments made to third parties, administrative fines, notarization fees, appraisal fees, travel expenses, legal fees, litigation costs, and other reasonable expenses).

8.3 In addition, for any illegal, regulatory violations, or criminal acts committed by you, the Company reserves the right to retain relevant information about you and your user account and report it to the competent authorities, public security agencies, or judicial authorities to pursue legal action accordingly.

IX. Intellectual Property

9.1 The Company is the intellectual property rights holder of Ribbi (including Ribbi as a whole and all content, components, or elements associated with Ribbi, hereinafter referred to collectively as "Ribbi") and holds all copyrights, trademark rights, patent rights, trade secrets, other intellectual property rights, and legitimate interests related to Ribbi, as well as all intellectual property rights and legitimate interests pertaining to Ribbi's information content (including but not limited to relevant text, images, audio, video, charts, product page designs, layout frameworks, data, or electronic documents), except for rights granted by law to other holders. Unless otherwise specified in this Agreement, without the Company's prior written consent, you shall not use the functions, services, or any intellectual property-containing content of the Ribbi platform for commercial purposes; shall not engage in activities such as reverse engineering, decompilation, or disassembly that may alter the original content or functionality of Ribbi; shall not breach or attempt to breach Ribbi's security and confidentiality measures; shall not scrape, store, cache, download, or mirror Ribbi's resources; shall not develop similar products or services based on Ribbi; nor shall you assist or permit any third party to perform any of the aforementioned acts. Any losses incurred by the Company or other rights holders as a result thereof shall be solely your responsibility.

9.2 Under the Ribbi paid service, the Company is the intellectual property rights holder of the beneficial content (including AI models) provided to users under this service (hereinafter referred to as "Company-provided content") and holds, either directly or through authorization, all intellectual property rights and other legitimate interests associated with such content. Except for the Company as the rights provider, other content such as inspiration templates and materials is provided by creators (hereinafter referred to as "Creator-provided content"), and creators retain all intellectual property rights and legitimate interests pertaining to such content. Unless used in accordance with the relevant platform rules, you may not use or dispose of the aforementioned Company-provided content or Creator-provided content in any manner beyond permitted usage terms; otherwise, you shall bear full responsibility for any losses incurred by the Company and/or creators.

9.3 The Company assumes full responsibility for the legality and compliance of all content provided by creators. Please note that since paid services incorporate substantial content contributed by creators, such content is either original work or uploaded with third-party authorization. Creators are solely responsible for the content they provide and bear full legal liability. Should any content violate laws, regulations, or infringe upon your or others' legitimate rights; or should disputes arise between you and a creator regarding the content, you may file a complaint with the Company via the contact information specified in this Agreement. The Company will endeavor to assist in resolving such disputes but shall not assume any legal liability arising therefrom.

9.4 To continuously improve the services provided by Ribbi, you hereby understand and agree that you grant us a global, free, non-exclusive, multi-level relicenseable right to use your input content on the Ribbi platform, as well as any generated content (including images, audio/video, and text) derived from such content and any information you post. This right enables us to provide services in accordance with platform rules, optimize our products and models, and ensure service security and stability. X. Amendment and Exemption Clauses

10.1 Please be aware that payments made through various payment channels for purchasing paid services may entail certain risks (including, but not limited to, illegal activities involving the misuse of user accounts or bank information by criminals, or fraudulent schemes designed to induce users to make payments). Such risks may result in corresponding economic losses for you. Regarding these risks, the Company cannot control them and is not obligated to pursue legal action against perpetrators or compensate you on their behalf. The Company will provide assistance within the limits permitted by laws and regulations to minimize your losses; however, such assistance shall not constitute evidence or grounds for the Company to bear legal liability.

10.2 Please note that the Company cannot always anticipate or mitigate technical and other risks, including but not limited to service interruptions caused by force majeure, government actions, network issues, system or equipment failures (including server downtime/crashes, system instability/failures, database failures), power outages, defects in third-party services, hacker attacks, computer viruses/trojans/malicious programs, or other circumstances beyond its control or reasonable foreseeability, as well as any losses incurred to users' personal data and information. The Company shall not be liable for any resulting losses, damages, or refund of payments made by you, provided that it provides prior notice whenever practicable.

10.3 You acknowledge and agree that if the paid service or related benefits you purchased are unexpectedly interrupted or unavailable due to the Company's fault, the Company will promptly take measures to restore your rights and provide appropriate compensation (e.g., extending the usage period or granting additional free trial benefits, subject to actual implementation), and will make every effort to protect your interests.

10.4 You shall be solely liable for any losses or liabilities arising from your own actions that prevent the Company from providing paid services or result in errors during service delivery; the Company shall not assume any liability, including but not limited to:

(1) Your user account has become invalid, been lost, or suspended;

(2) Any losses or liabilities arising from your linked third-party payment service providers, bank accounts, or other factors, including use of unverified accounts, accounts not owned by you, or account freezes or seizures;

(3) Causing financial loss by disclosing your user account or linked account password to others;

(4) Property losses resulting from your personal intent or gross negligence.

10.5 If you utilize services provided by a third party during the payment process, in addition to the provisions of this Agreement, you shall agree to and comply with the binding terms and applicable rules of such third party. Under no circumstances shall any disputes arising from such third party or its services be resolved between you and that third party, and the Company shall not be liable to you or the third party for such disputes.

10.6 Please note that the Company may, based on various factors including operational planning, market conditions, performance outcomes, and policy changes, decide whether to continue providing you with existing paid services and related user benefits, or to modify them. The specific paid services and benefits available to you shall be subject to your actual availability at the time of decision, and the Company will endeavor to safeguard your rights.

10.7 Please note that the paid services and related benefits provided by the Company to you may be subject to various factors or disruptions; the Company makes no warranty (including but not limited to):

(1) The paid services and associated benefits you purchased fully meet your usage requirements or align with your expectations;

(2) The use of the paid services and related benefits you purchased shall not be interfered with, and shall be delivered promptly, securely, reliably, and without any errors.

(3) Any errors in the paid services or related benefits you purchased will be corrected promptly.

The company welcomes and values your valuable feedback on enhancing Ribbi, its paid services, and user benefits. We will thoroughly consider all reasonable suggestions to continuously improve platform functionality and services.

XI. Complaints and Contact Information

11.1 If you have any questions, complaints, suggestions, or feedback regarding this Agreement, paid services, or user rights, please submit your feedback via: submit feedback through 【Feedback】 at the bottom right of Ribbi Web, or email us at contact@somasole.ai. We will address your feedback promptly. We will respond promptly and address your concerns.

11.2 If you receive a complaint from another party or intend to file a complaint against someone else, the Company reserves the right to provide the relevant parties or authorities with necessary information—including the parties involved in the dispute, their contact details, and the specific content of the complaint—to facilitate timely resolution of the matter and protect the legitimate rights and interests of all parties concerned. You shall assume full responsibility for the authenticity, legality, and validity of any information, materials, or evidence you submit during the complaint processing procedure.

XII. Terms for Minors' Use

12.1 Ribbi is primarily intended for adults. If you are a minor under 18 years of age, you must carefully read this agreement under the guidance of your guardian and may only use the paid services with your guardian's consent. Without such consent, your guardian may notify the company through Ribbi's official channels or the contact information specified in this agreement to address the issue; the company reserves the right to restrict certain account functions (including but not limited to browsing, usage, and transactions).

12.2 We place great importance on protecting the personal information and privacy of minors. We specifically remind you to exercise heightened caution when providing personal information about minors and to avoid publishing content containing materials related to minors. You must obtain the rights holder's consent for displaying minors' images, voices, or other relevant information, and authorize us to use and process such content in accordance with this agreement. If such content infringes upon minors 'rights, we reserve the right to remove it upon receiving notice from the rights holder or for other reasons necessary to protect minors' legitimate interests, and will notify you accordingly.

12.3 We will work closely with guardians to protect minors 'physical and mental health. As a guardian, you are also obligated to fulfill your supervisory duties by ensuring minors' online safety and guiding them toward healthy and responsible internet use. Minors should learn to use the internet appropriately under their guardian's supervision, develop good online habits, and avoid becoming addicted to virtual spaces.

12.4 Adolescent users must comply with the National Youth Online Civilization Convention: (1) Master effective online learning skills and avoid accessing inappropriate content; (2) Engage in honest and friendly communication, refraining from insulting or deceiving others; (3) Strengthen self-protection awareness and avoid meeting strangers online without proper verification; (4) Maintain cyber security and refrain from disrupting online order; (5) Promote physical and mental well-being, avoiding excessive immersion in virtual environments.

12.5 Special Reminder for Guardians: (1) If your ward uses paid services, you as the guardian shall guide and supervise their registration, login, and usage activities. If your ward applies to register or log in to a user account, we may consider this as obtaining your consent. (2) Your ward may utilize payment and recharge functions when using paid services. As the guardian, please safeguard your payment devices, payment accounts, and payment passwords to prevent your ward from accessing these functions through your user account without your consent.

XIII. Others

13.1 The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. If any provision of this Agreement is invalid due to conflict with applicable laws or regulations, such provisions shall be reinterpreted and applied in accordance with principles that best serve the purpose of this Agreement, provided such reinterpretation does not violate legal requirements; all other provisions of this Agreement shall remain fully effective.

13.2 This Agreement is executed in Haidian District, Beijing, People's Republic of China. In the event of any dispute arising from this Agreement between you and us, both parties shall first attempt to resolve it through friendly negotiation; if unsuccessful, you agree to submit the dispute to the competent People's Court in Haidian District, Beijing for judicial resolution.

13.3 The headings in this Agreement are for illustrative purposes only and do not affect the meaning or interpretation of any provisions herein.

13.4 Both you and we are independent entities; under no circumstances shall this Agreement constitute any express or implied warranty or condition by us to you, nor shall there exist any agency, partnership, joint venture, or employment relationship between the parties.

13.5 If any provision of this Agreement becomes partially invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding on both parties.

Appendix: Automatic Renewal Service Rules

Automatic Renewal Service Rules

These Automatic Renewal Service Rules (hereinafter referred to as "these Rules") shall be deemed a supplementary agreement to the "Ribbi Paid Service Agreement," forming an integral part thereof and constituting a unified whole. In case of any conflict between these Rules and the "Ribbi Paid Service Agreement," these Rules shall prevail. By purchasing a paid service, selecting "Continuous Subscription" (e.g., "Continuous Monthly Subscription," "Continuous Annual Subscription," etc., as displayed on the respective payment page), and proceeding with subsequent steps or using the service after agreeing to the "Ribbi Paid Service Agreement" and completing payment, you hereby consent to these Rules.

You understand and agree:

1. This automatic renewal service is designed to meet your need for automatic renewal and is provided upon activation of this service to prevent losses caused by failure to renew promptly due to negligence or other reasons. By opting for the automatic renewal service, you authorize the Company to request payment channels (such as Alipay, WeChat Pay, or TikTok Pay) to deduct the fee for the next billing cycle from the balance in your personal recharge account or the third-party payment account linked to your user account for the purchased paid service (collectively referred to as the "payment account") when the automatic renewal period for the respective paid service is about to expire. For services where payment channels determine their own deduction cycles based on actual circumstances (e.g., Apple's iOS payment channel automatically deducts fees 24 hours before the expiration date), the actual deduction time shall prevail. Upon successful deduction, the Company will automatically extend the validity period of the corresponding paid service.

2. Types of Automatic Renewal Services/ Billing Periods: Depending on the specific paid service, available automatic renewal options may include continuous monthly or annual subscriptions, with corresponding billing periods set at monthly or annual (as displayed on the respective purchase page); users may choose accordingly. The company may periodically add or modify automatic renewal types and benefit details based on business development and user needs; please refer to the specific content and instructions presented on the purchase page for details.

3. Automatic Renewal Deduction Rules

(1) By selecting the automatic renewal service, you agree that the payment system may deduct the service fee for the next billing cycle from your linked payment account without verifying your payment account password, payment password, SMS verification code, or other required information.

(2) Unless you cancel your subscription or the company cancels the automatic renewal service, this service will automatically renew and charge without any limit on the number of renewals.

(3) If you do not actively unsubscribe from the auto-renewal service, it shall be deemed that you consent to the company making periodic deduction attempts within a specified period after the end of each auto-renewal billing cycle, in accordance with the payment channel's deduction rules (even if your payment account balance is insufficient).

(4) Once the automatic renewal deduction is successful, the company will automatically extend the validity period of the corresponding paid service, with the extension duration determined by the billing cycle selected when you chose automatic renewal. If force majeure events (such as network outages) occur during the billing cycle preceding the previous billing cycle, preventing normal deduction, the deduction date will be postponed until the deduction is successfully completed.

Please monitor your payment account and available balance. Any risks or losses resulting from payment account issues or insufficient funds, such as failed renewal, shall be borne by you.

4. To help you understand your automatic renewal status, the company will notify you of upcoming renewal charges five days before the due date via in-app messages or mobile notifications. Relevant payment channels may also send automatic renewal alerts (please refer to each channel's official notification policies).

5. Please note that the Company reserves the right to adjust the prices of automatic renewal service packages for paid services. During the validity period of your automatic renewal service, if the Company adjusts the price of the corresponding paid service for which automatic renewal is enabled, it will notify you through appropriate channels such as product page announcements, platform notices, or internal messages. The adjusted price takes effect immediately upon adjustment or upon the effective date notified by the Company. If you disagree with the price adjustment, you may opt to cancel the automatic renewal service in accordance with these terms; the corresponding service period will terminate upon the expiration of the current billing cycle. Please be advised that unless you proactively cancel the automatic renewal service on time, the payment channel authorized by the Company will deduct the service fee irrevocably.

6. You have the right to freely choose whether to continue using or cancel the automatic renewal service. If you opt to cancel, you must do so before the corresponding automatic renewal billing cycle expires; after cancellation, the usage period of the purchased paid service will end upon the expiration of the current billing cycle. Failure to cancel promptly will result in continued automatic deductions for subsequent billing cycles, extending the service period until the next billing cycle expires. Additionally, due to restrictions imposed by certain payment channels (e.g., Apple's iOS Pay), if you cancel within 24 hours before the current automatic renewal cycle expires, those channels may have already deducted the service fee for the next cycle; successful deduction will extend the service period until the next billing cycle expires.

7. How to unsubscribe

(1) For Apple iOS users: Open the App Store on your iOS device → Tap the Apple account icon in the top-right corner → Go to Account → Select Subscribe → Choose the paid services related to Ribbi whose automatic renewals you wish to cancel, then proceed to unsubscribe.

(2) Ribbi platform website:

You may cancel automatic renewal via the "Cancel Subscription" section on the page by clicking 【Me】 in the upper right corner of Ribbi Web, then 【Billing】 and 【My Subscriptions】.

Please note that your authorization for automatic renewal deductions remains valid until you cancel the service. The company will not refund any fees deducted from your payment method based on this authorization.

8. The Company reserves the right to suspend automatic renewal services for you as required by operational strategy and will notify you via platform announcements or in-site messages prior to such suspension. The validity period of your purchased paid services will terminate upon expiration of the current automatic renewal billing cycle.
